1. Agreement to Terms

By accessing and using the Sunny Side Seed website ("the Site") or engaging Sunny Side Seed ("we," "us," "our") for hydroseeding or related lawn services, you ("the Customer," "you") agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our Site or services.

2. Use of the Website

The content provided on this Site is for general informational purposes about hydroseeding and the services offered by Sunny Side Seed. You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use of the Site.

You agree not to:

• Use the Site in any way that could damage, disable, overburden, or impair the Site or interfere with any other party's use of the Site.
• Attempt to gain unauthorized access to any portion of the Site, related systems, or networks.
• Use any automated means, including spiders, robots, crawlers, or data mining tools, to download, monitor, or copy data from this Site.
• Submit false, misleading, or fraudulent information through any contact form or other Site feature.

3. Intellectual Property

All content on this Site, including but not limited to text, graphics, logos, images, photography, videos, and the design and layout of the Site, is the property of Sunny Side Seed or its licensors and is protected by United States copyright and trademark law. You may not reproduce, distribute, modify, or create derivative works from any content on this Site without our prior written consent.

The "Sunny Side Seed" name and logo are trademarks of Sunny Side Seed. Unauthorized use of these marks is prohibited.

4. Service Estimates

All estimates provided by Sunny Side Seed are based on the information available at the time of the estimate, including a visual inspection of the property. Estimates are valid for thirty (30) days from the date of issuance unless otherwise stated in writing. We reserve the right to revise an estimate if conditions discovered during work materially differ from those observed during the estimate visit (for example, hidden underground obstacles, severely compacted or contaminated soil, or undisclosed structures). Any material change in scope or pricing will be communicated to the Customer for approval before additional work is performed.

5. Service Agreement & Payment Terms

Acceptance of an estimate, whether verbally, in writing, by email, or by allowing work to commence, constitutes a binding agreement for the services described in the estimate. Payment terms are detailed in your written estimate. For most residential projects, payment is due upon completion of work unless otherwise agreed in writing. Larger commercial and HOA projects may include deposit requirements and milestone payment schedules.

Late payments may be subject to late fees and interest charges as permitted by New York law. Customers are responsible for all reasonable collection costs, including attorney's fees, incurred by Sunny Side Seed in collecting unpaid amounts.

6. Customer Responsibilities

To ensure successful hydroseeding results, the Customer agrees to:

• Provide accurate property information, including any known underground utilities, septic systems, sprinkler lines, or other obstructions.
• Mark or have marked all underground utilities through the New York 811 dig safe service before any soil preparation work begins.
• Provide a reliable water source for post-application watering.
• Follow the watering schedule and aftercare instructions provided by Sunny Side Seed.
• Restrict foot, pet, and vehicle traffic on the newly hydroseeded area for the recommended establishment period.
• Refrain from applying broadleaf herbicides, weed-and-feed products, or non-selective herbicides on the new lawn for at least eight (8) weeks following application.

7. Limitation of Warranty

The success of any seeded lawn depends on numerous factors outside our control, including but not limited to: post-application watering performed by the Customer, weather conditions, foot traffic, animal damage, soil quality below the prepared seedbed, and other environmental factors. While Sunny Side Seed guarantees the professional quality of our application and the use of premium materials as specified in your estimate, we cannot and do not guarantee specific germination percentages, full coverage, or specific aesthetic outcomes.

Sunny Side Seed will, at its discretion, address genuine workmanship issues identified within thirty (30) days of application at no additional charge. Issues caused by Customer aftercare failures, weather events, or other factors outside our control are not covered by this commitment.

8. Limitation of Liability

To the maximum extent permitted by law, Sunny Side Seed's total liability for any claim arising out of or relating to our services or this Site shall not exceed the total amount paid by the Customer for the specific service giving rise to the claim. In no event shall Sunny Side Seed be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost data, or business interruption.

9. Indemnification

You agree to indemnify, defend, and hold harmless Sunny Side Seed and its employees, officers, and contractors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your use of the Site, your engagement of our services, your violation of these Terms, or your violation of any third-party rights.

10. Cancellation Policy

Customers may cancel a scheduled hydroseeding appointment with at least seventy-two (72) hours notice without penalty. Cancellations within seventy-two (72) hours of the scheduled appointment may be subject to a cancellation fee covering materials already prepared and scheduling losses. Sunny Side Seed reserves the right to reschedule appointments due to weather conditions or other circumstances beyond our control; we will provide as much notice as possible in such cases.

11. Privacy

Information you provide through our contact form (name, email, phone, address, and message) is used solely to respond to your inquiry and provide requested services. We do not sell, rent, or share customer information with third parties for marketing purposes. Information may be shared with subcontractors or service providers as needed to deliver our services.

12. Third-Party Links

This Site may contain links to third-party websites for your convenience. We do not endorse and are not responsible for the content, privacy policies, or practices of third-party websites. Accessing third-party sites is at your own risk.

13. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or our services shall be resolved in the state or federal courts located in Erie County, New York, and the parties consent to the exclusive jurisdiction of such courts.

14. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Site or engagement of our services after changes are posted constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
